These Terms of Use (the “Terms”) govern your access to and use of authntech.com and any page that links to these Terms (the “Site”). The Site is operated by Authntech Inc., a Delaware corporation (“Authntech”, “we”, “us” or “our”). By using the Site you agree to these Terms. If you do not agree, do not use the Site.

1. Scope

These Terms cover this corporate website only. Our products (including KuestAI, Sailo, Jeriko and Playtree) are provided under their own terms of service, privacy policies and agreements. Where a product’s terms conflict with these Terms, the product’s terms govern your use of that product.

2. Eligibility

You must be at least 16 years old, or the age of digital consent where you live if that is higher, to use the Site. If you use the Site on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

3. Intellectual property

We or our licensors own the Site and all of its content, including text, graphics, logos, the Authntech name and emblem, product names, software and the design of the Site. These are protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site for your personal or internal business information. We reserve all other rights.

You may not use our names, logos or trademarks without our prior written consent, including in a way that suggests endorsement or affiliation. Product names and logos of third parties belong to their respective owners.

4. Acceptable use

You agree not to:

  • use the Site in violation of any applicable law or regulation;
  • probe, scan or test the vulnerability of the Site, or breach any security or authentication measure, except under our responsible disclosure guidelines;
  • interfere with or disrupt the Site, including by overloading it or sending malicious code;
  • scrape, copy or harvest content from the Site in bulk, or use it to train machine learning models, without our written permission;
  • impersonate Authntech, our personnel or any of our ventures.

5. Communications you send us

If you send us ideas, feedback or proposals, you agree that we are not required to keep them confidential unless we have signed a written confidentiality agreement with you. We may use them without obligation to you. Do not send us confidential information without such an agreement in place.

6. No offer or advice

Content on the Site is provided for general information about Authntech and its ventures. It is not an offer to sell, or a solicitation of an offer to buy, any security or interest in Authntech or any venture. It is not investment, legal, tax or other professional advice. Statements about products in development describe current intentions and may change.

7. Third-party links

The Site links to websites that we or others operate. We are not responsible for the content, policies or practices of third-party websites. Your use of them is at your own risk and subject to their terms.

8. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ITS CONTENT IS ACCURATE OR COMPLETE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUTHNTECH INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow these limitations, so they may not apply to you.

10. Indemnity

You agree to indemnify and hold harmless Authntech Inc. from any claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Site.

11. Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site. You and we consent to personal jurisdiction there. Nothing in this section limits mandatory consumer protections that apply where you live.

12. Changes and termination

We may update these Terms. When we do, we will change the “last updated” date above. Continued use of the Site after a change means you accept the updated Terms. We may suspend or restrict access to the Site at any time.

13. General

If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets. These Terms are the entire agreement between you and us about the Site.
